Welcome to DubyStore.

These Terms and Conditions (“Terms”) govern your access to and use of the DubyStore website, mobile applications, marketplace, payment services, delivery services, and related services (collectively, the “Platform”).

By accessing, registering on, or using DubyStore, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you should not use the Platform.

1. ABOUT DUBYSTORE

DubyStore is an online marketplace that connects customers with sellers and service providers and facilitates the purchase and delivery of products through the Platform.

Depending on the transaction, DubyStore may act as a marketplace operator, payment facilitator, delivery coordinator, or provider of other related services.

DubyStore does not necessarily manufacture, own, or directly sell every product listed by third-party sellers.

2. ELIGIBILITY

To use DubyStore, you must:

- Provide accurate and complete information when creating an account.

- Be legally capable of entering into a binding agreement.

- Comply with all applicable laws and regulations.

- Keep your account information accurate and up to date.

- Be responsible for activities conducted through your account.

Where a user is below the legally permitted age for a particular service, use may require the involvement or authorization of a parent or legal guardian.

3. ACCOUNT REGISTRATION

Some DubyStore services require you to create an account.

You agree to:

- Provide truthful and accurate information.

- Maintain the confidentiality of your password, PIN, OTP, and other security credentials.

- Immediately notify DubyStore if you suspect unauthorized access to your account.

- Not create an account using another person's identity or information.

- Not sell, transfer, or share your account without authorization.

You are responsible for activities carried out through your account unless you can demonstrate that the activity resulted from unauthorized access that was not caused by your negligence.

4. CUSTOMER ORDERS

When you place an order through DubyStore:

1. You select the product and submit your order.

2. The seller may receive and process the order.

3. Payment may be authorized or collected through the available payment method.

4. The seller prepares the order.

5. The order may be delivered through DubyStore or an applicable delivery partner.

Submitting an order does not necessarily guarantee acceptance. DubyStore or the seller may cancel an order where there is a legitimate reason, including stock unavailability, pricing errors, suspected fraud, payment problems, or violation of these Terms.

5. PRODUCT INFORMATION

Sellers are responsible for ensuring that product descriptions, images, prices, specifications, availability, warranties, and other information they provide are accurate.

DubyStore may take reasonable steps to review marketplace listings but does not guarantee that every seller-provided description is completely accurate or error-free.

Product images may differ slightly from the actual product because of photography, lighting, screen settings, packaging changes, or manufacturer updates.

6. PRICES AND PAYMENTS

Prices displayed on DubyStore may change at any time before an order is confirmed.

The amount payable may include:

- Product price;

- Delivery charges;

- Applicable service charges;

- Applicable taxes or government charges; and

- Other charges disclosed before checkout.

Payments must be made using the payment methods made available through the Platform.

DubyStore may use third-party payment processors and financial service providers to process transactions.

DubyStore does not store complete payment-card information unless expressly stated and permitted under applicable law.

7. SELLER TERMS

Sellers using DubyStore agree to:

- Provide genuine and accurately described products.

- Sell products they are legally authorized to sell.

- Maintain accurate stock information.

- Process accepted orders within the applicable timeframe.

- Package products appropriately.

- Comply with applicable consumer protection, tax, product safety, intellectual property, and other laws.

- Honor applicable warranties and return obligations.

- Not manipulate reviews, ratings, orders, prices, or marketplace activity.

- Not use DubyStore to sell prohibited or unlawful products.

DubyStore may suspend or terminate a seller account where there is evidence of fraud, abuse, counterfeit goods, prohibited products, repeated customer complaints, policy violations, or other serious misconduct.

8. PROHIBITED PRODUCTS AND ACTIVITIES

Users and sellers must not use DubyStore for unlawful activities or to list products prohibited by applicable law or DubyStore policy.

Examples may include:

- Counterfeit goods;

- Stolen goods;

- Fraudulent documents;

- Illegal drugs;

- Unauthorized weapons or explosives;

- Products that infringe intellectual property rights;

- Fraudulent financial products;

- Malware or malicious software;

- Items prohibited by applicable law;

- Products that create an unreasonable safety risk;

- Any other goods or services prohibited by DubyStore or applicable regulations.

DubyStore may remove listings, suspend accounts, cancel transactions, hold funds where legally permitted, and report suspected unlawful activity to the appropriate authorities.

9. DELIVERY

Delivery times shown on the Platform are estimates unless expressly stated otherwise.

Delivery may be affected by:

- Seller processing time;

- Customer availability;

- Incorrect delivery information;

- Weather;

- Traffic;

- Public holidays;

- Security conditions;

- Logistics disruptions; or

- Other circumstances outside DubyStore's reasonable control.

Customers are responsible for providing a correct delivery address and reachable contact details.

If a customer provides an incorrect address or is unavailable to receive an order, additional delivery charges or a failed-delivery procedure may apply.

10. INSPECTION OF ORDERS

Customers should inspect their orders as soon as reasonably possible after delivery.

Where an order is damaged, incorrect, incomplete, counterfeit, or materially different from the listing, the customer should report the issue through the applicable DubyStore support or dispute process within the applicable reporting period.

Customers may be required to provide photographs, videos, delivery information, packaging evidence, or other information necessary to investigate a complaint.

11. RETURNS AND REFUNDS

Return and refund eligibility depends on the product, seller policy, reason for the return, condition of the product, and applicable law.

A refund may be available where:

- The wrong product was delivered;

- The product is materially defective;

- The product is materially different from its description;

- The order was cancelled in accordance with applicable policy; or

- Another legally recognized basis for refund exists.

Certain products may not be eligible for return because of their nature, including products that are personalized, perishable, hygienic, digital, or otherwise exempt under applicable law or DubyStore policy.

Returned products may be inspected before a refund is approved.

Refund processing times may depend on the payment method and financial institution involved.

12. SELLER PAYOUTS

Where DubyStore collects payment on behalf of sellers, seller funds may be subject to applicable fees, deductions, refunds, chargebacks, disputes, fraud checks, and other legitimate adjustments.

DubyStore may delay or hold a payout where reasonably necessary to investigate suspected fraud, transaction disputes, policy violations, or other legitimate risks, subject to applicable law.

13. KYC AND VERIFICATION

DubyStore may require customers, sellers, delivery personnel, agents, or other users to complete identity or business verification.

Verification may require information such as:

- Full name;

- Telephone number;

- Date of birth;

- Residential or business address;

- Government-issued identification;

- Business registration information;

- Selfie or other verification information; and

- Other information reasonably required for compliance and security purposes.

Users must provide authentic and accurate information.

Providing false documents or impersonating another person may result in account suspension or termination and may be reported to the appropriate authorities where required or permitted by law.

14. FRAUD AND SECURITY

DubyStore may monitor transactions and account activity for security, fraud prevention, abuse, and compliance purposes.

We may restrict, suspend, or terminate transactions or accounts where we reasonably suspect:

- Fraud;

- Account takeover;

- Payment abuse;

- Identity theft;

- Money laundering;

- Unauthorized transactions;

- Fake orders;

- Marketplace manipulation; or

- Other unlawful or abusive activity.

Users must not attempt to bypass DubyStore's security systems or use another person's account, payment credentials, OTP, or verification information.

15. REVIEWS AND RATINGS

Customers may be permitted to submit reviews and ratings based on genuine transactions.

Reviews must not:

- Contain knowingly false information;

- Impersonate another person;

- Include unlawful or threatening content;

- Contain personal or confidential information belonging to another person;

- Be submitted in exchange for prohibited incentives; or

- Be used to manipulate seller rankings or marketplace activity.

DubyStore may remove reviews that violate these Terms or applicable policies.

16. INTELLECTUAL PROPERTY

The DubyStore name, logo, branding, website design, software, graphics, text, interfaces, and other Platform materials may be protected by intellectual property laws.

You may not reproduce, modify, distribute, sell, reverse engineer, or commercially exploit DubyStore's intellectual property without prior written authorization.

Sellers remain responsible for ensuring that their product images, descriptions, logos, trademarks, and other materials do not infringe the rights of third parties.

17. USER CONTENT

Where users submit photographs, reviews, product information, comments, or other content to DubyStore, they must have the legal right to submit that content.

By submitting content, you grant DubyStore a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute that content as reasonably necessary to operate, promote, and improve the Platform, subject to applicable law and our Privacy Policy.

18. PRIVACY

DubyStore may collect and process personal information required to provide its services, process transactions, prevent fraud, provide customer support, perform verification, and comply with legal obligations.

Personal information will be handled in accordance with the applicable DubyStore Privacy Policy and applicable data-protection laws.

Users should review the Privacy Policy before using the Platform.

19. THIRD-PARTY SERVICES

DubyStore may integrate with third-party services, including:

- Payment processors;

- Banks and financial institutions;

- Delivery and logistics providers;

- Identity verification providers;

- Communication providers;

- Analytics providers; and

- Other technology providers.

Third-party services may have their own terms and privacy policies. DubyStore is not responsible for matters outside its reasonable control involving independent third-party services.

20. PLATFORM AVAILABILITY

We aim to keep DubyStore available and reliable, but we do not guarantee uninterrupted or error-free access.

The Platform may occasionally be unavailable because of:

- Maintenance;

- Technical problems;

- Security incidents;

- Internet or hosting failures;

- Third-party service interruptions; or

- Circumstances beyond our reasonable control.

21. LIMITATION OF LIABILITY

To the extent permitted by applicable law, DubyStore will not be responsible for indirect, incidental, special, or consequential losses arising from the use of the Platform.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited under applicable law.

Where a product is supplied by an independent seller, claims concerning the product may also involve the seller who supplied that product.

22. INDEMNITY

To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, and reasonable expenses arising from your:

- Breach of these Terms;

- Fraudulent or unlawful activity;

- Misuse of the Platform;

- Violation of another person's rights; or

- Breach of applicable law.

23. ACCOUNT SUSPENSION OR TERMINATION

DubyStore may suspend, restrict, or terminate an account where reasonably necessary because of:

- Violation of these Terms;

- Fraud or suspected fraud;

- False information;

- Abuse of customers, sellers, staff, or delivery personnel;

- Repeated policy violations;

- Illegal activity;

- Security concerns; or

- Other circumstances permitted by applicable law.

Where appropriate, users may be given an opportunity to resolve the issue or appeal the decision.

24. DISPUTES

Customers and sellers should first attempt to resolve transaction-related issues through the DubyStore support or dispute-resolution process.

Where a dispute cannot be resolved through the Platform, the parties may use any applicable legal or regulatory dispute-resolution mechanism available under Nigerian law.

Nothing in these Terms prevents a consumer from exercising rights that cannot lawfully be excluded.

25. GOVERNING LAW

These Terms shall be interpreted in accordance with the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections applicable to users.

Where legally appropriate, disputes may be submitted to the courts or other competent dispute-resolution bodies in Nigeria.

26. CHANGES TO THESE TERMS

DubyStore may update these Terms from time to time to reflect changes to the Platform, services, technology, legal requirements, or business practices.

Updated Terms will be published on the Platform with a revised “Last Updated” date.

Your continued use of DubyStore after an update may constitute acceptance of the revised Terms to the extent permitted by law.

27. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

28. ENTIRE AGREEMENT

These Terms, together with the DubyStore Privacy Policy, Refund/Return Policy, Seller Policy, and any other policies expressly incorporated into the Platform, constitute the agreement governing your use of DubyStore, subject to applicable law.
